The Board monitors the operational and financial position and performance of SG Fleet Group Limited (sgfleet) and oversees its business strategy, including approving the strategic goals of sgfleet. The Board is committed to maximising performance, generating appropriate levels of shareholder value and financial return, and sustaining the growth and success of sgfleet.

In conducting business with these objectives, the Board is committed to ensuring that sgfleet is properly managed to protect and enhance shareholder interests, and that sgfleet, its Directors, officers and employees operate in an appropriate environment of corporate governance. Accordingly, the Board has created a framework for managing sgfleet, including adopting relevant internal controls, risk management processes and corporate governance policies and practices, which it believes are appropriate for sgfleet’s business and which are designed to promote the responsible management and conduct of sgfleet.

Principles of Corporate Governance

sgfleet believes that effective corporate governance encourages companies to create value, entrepreneurialism and innovation while providing accountability and systems commensurate with the risks involved.

In determining what is effective governance for sgfleet, the Board has taken into account the ASX Corporate Governance Council's Corporate Governance Principles and Recommendations (3rd Edition), the Corporations Act 2001 and other related best practice guidelines.
